Paraplex Terms of Service

1. Agreement and who we are

Effective date: October 10th, 2026

These Terms of Service ("Terms") are an agreement between you and Paraplex Digital LLC, an Arizona limited liability company ("Paraplex," "we," "us"). They cover your use of the Paraplex app at app.paraplex.ai, our website at www.paraplex.ai, published embeds, and any related services (together, the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company or other organization, you agree on its behalf and confirm you have authority to do so; "you" then means that organization.

If you don't agree, don't use the Service.

2. Eligibility and accounts

You must be at least 16 years old to use the Service. To buy a paid plan, you must be old enough to enter a binding contract where you live.

Some features work without an account. To save projects to the cloud, publish embeds or buy a plan, you need one. You agree to:

  • give accurate information and keep it current;
  • keep your login secure and not share your account;
  • tell us right away at support@paraplex.ai if you think someone else has accessed it.

You are responsible for everything done through your account, including use of any API keys you add (section 7).

3. Plans, billing, renewal, cancellation and refunds

Plans. We offer a Free plan and a paid Pro plan. What each plan includes, and its price, is listed at www.paraplex.ai/pricing. Plan limits (such as export resolution, cloud projects, published embeds and monthly AI credits) are part of these Terms.

Payment. Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method for the plan you choose, plus any applicable sales tax or VAT. Prices are in US dollars. We never see or store your full card details.

Automatic renewal. Pro renews automatically at the end of each billing period, monthly or yearly, at the then-current price, until you cancel. We will remind you by email before a yearly plan renews. If we change the price of your plan, we will tell you at least 30 days before the change applies to you, and you can cancel before it takes effect.

Cancellation. You can cancel anytime in the app under your account settings (Manage subscription). Cancellation takes effect at the end of your current billing period; Pro stays on until then, and your account then moves to Free. Nothing is deleted when you cancel. Projects above the Free plan's cloud limit stay in your account, but you can't add new ones to the cloud until you are under the limit.

14-day money-back guarantee. If Pro isn't right for you, email support@paraplex.ai within 14 days of a subscription charge, monthly or yearly, and we'll refund that charge in full. Refunds are limited to one per account. A refunded subscription ends right away, and your account moves to Free. Refunds go back to your original payment method and usually arrive within 5 to 10 business days. Outside this guarantee, payments are non-refundable except where the law requires otherwise.

Failed payments. If a payment fails, we'll retry it and let you know. If it still can't be collected, we may move your account to Free.

Taxes. You are responsible for taxes on your purchases, other than taxes on our income. Where required, we collect sales tax or VAT at checkout.

4. AI credits

AI features use credits. One credit equals one US cent of AI use. The app shows the price of each generate action before it runs, and charges assistant turns by their actual size.

  • Monthly credits. Free credits reset on the 1st of each month. Pro credits reset each month on your billing date, on monthly and yearly plans. Unused monthly credits don't roll over.
  • Extra credits. Extra credit packs are used only after your monthly credits run out. They expire one year after your most recent credit purchase. Unused packs can be refunded within 14 days of purchase; used or partly used packs can't.
  • No cash value. Credits are a license to use the Service, not money or property. They can't be transferred, sold, or exchanged for cash, and they end if your account is closed.
  • Price changes. We may change how many credits an action costs. Prices shown in the app before an action runs are the ones that apply.

If you use your own API keys (section 7), those actions don't use credits.

5. Your content

You own what you make. "Your Content" means anything you upload, import or create in the Service: projects, designs, animations, exports, prompts, and files such as images, 3D models, fonts, audio and data. As between you and us, you own Your Content. We claim no ownership of it, on any plan, and you keep using anything you've exported after you cancel. Ownership of material made with AI features is covered in section 7.

The license you give us. You grant Paraplex a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display and adapt Your Content only as needed to:

  1. run the Service for you, for example saving your projects, rendering exports, running AI features you ask for, and serving embeds you publish;
  2. maintain, secure and improve the Service, as described below; and
  3. comply with the law.

This license ends when you delete Your Content or your account, except for copies kept in backups for a limited time, content you've shared publicly that others have already copied, and what the law requires us to keep.

Using projects to improve Paraplex. We may use Your Content, and information about how you use the Service, to fix bugs, develop features and improve the Service, including the AI assistant. Doing so doesn't change who owns Your Content.

Your responsibility. You confirm that you have the rights needed for everything you upload or import, including fonts, images, music, logos and footage, and that using them in Paraplex doesn't violate anyone else's rights or any law.

Backups. We work to keep your data safe, but keep your own copies of anything important. We are not responsible for lost content except as stated in section 14.

6. Templates and included assets

Paraplex includes templates, presets, materials, environments, components and other assets ("Paraplex Assets"). Paraplex Digital LLC or its licensors own them; we don't transfer ownership to you.

What you can do. We grant you a worldwide, non-exclusive, royalty-free, perpetual license to use, modify and include Paraplex Assets in projects you make with Paraplex, and to use and distribute what you make, including for client and commercial work. This license continues after you cancel for anything you made while your account was active.

What you can't do.

  • resell, sublicense, share or give away Paraplex Assets on their own, or as templates, presets or asset packs, whether unchanged or modified;
  • use Paraplex Assets to build a competing template library or design tool;
  • register a trademark or claim exclusive rights in a design whose distinctive parts come from Paraplex Assets;
  • remove any notices attached to them.

You own the original work you add to a template. The template's own elements stay ours, licensed to you as above.

Third-party assets. Some assets, such as fonts, come from other companies under their own licenses. Where an asset carries extra terms, we show them in the app, and they apply.

7. AI features

Paraplex includes an AI assistant and tools that generate images, 3D models, rooms, video, voiceovers, music and other material ("AI Features"). The assistant builds scenes as ordinary, editable layers, and you decide what to keep.

Outputs. As between you and us, material the AI Features produce for you ("Outputs") is Your Content, and we claim no rights in it. We can't promise that Outputs are protected by copyright where you live, since some countries don't protect material made mainly by AI. Other users may receive similar Outputs.

Check before you use. AI can be wrong, and Outputs can unintentionally resemble existing work, people or brands. You are responsible for reviewing Outputs and making sure your use of them is lawful, including for trademarks, likenesses and copyrighted material. Don't use AI Features to imitate a real person's voice or likeness without their permission.

AI providers. Some AI Features run on third-party providers, such as Anthropic and ElevenLabs. Prompts and the content needed for a request are sent to the provider to produce the result, as described in our Privacy Policy. You also agree to follow the usage policies those providers publish for content generated through them.

Bring your own keys. You can add your own API key for some providers. When you do, those requests run on your account with that provider, under your agreement with them, and you pay them directly. You are responsible for your keys, their costs and how they're used. We store your keys only to make the requests you ask for.

Availability. Which AI models and features are available, and on which plan, may change.

8. Embeds, sharing and the community gallery

Published embeds. When you publish an embed, it becomes viewable by anyone with its link or on any site where its code is placed. Embeds count toward your plan's limit. If you move to a plan with a lower limit, we may unpublish embeds above it, starting with the oldest, after giving you notice. We may also disable an embed that breaks these Terms or puts the Service at risk.

Share links. Anyone with a view or copy link to your project can open it, or copy it into their own account if you allowed that. Only share links with people you trust, and turn sharing off when you no longer need it.

Community gallery. If you submit work to the gallery, you also grant Paraplex and other users a license to view it in the Service, and, if you allow remixing, to copy and adapt it within Paraplex. We may feature gallery work on our website and social channels, credited to you. You can remove your work from the gallery anytime; copies others have already made may remain.

9. Acceptable use

Don't use the Service to:

  • break any law, or help someone else break one;
  • infringe anyone's copyright, trademark, privacy or publicity rights;
  • create or share sexual content involving minors, or sexual content of real people without their consent;
  • create content that harasses, threatens or promotes violence against people, or that is hateful toward people for who they are;
  • create deceptive content meant to mislead, such as fake endorsements, fraudulent ads or impersonation of real people or organizations;
  • distribute malware, phishing pages or spam, including through published embeds;
  • probe, scan, overload or attack the Service, or get around its limits, credits, payment or security;
  • scrape the Service, or use it or its Outputs to build a competing product or train a competing AI model;
  • resell or share access to your account, or create accounts to get around plan limits, credits or the one-refund rule;
  • reverse engineer the Service, except where the law allows it.

We may remove content, disable embeds or suspend accounts that break these rules (section 13).

10. Copyright complaints

We respect intellectual property and respond to notices under the Digital Millennium Copyright Act (DMCA). If you believe content in the Service infringes your copyright, send a notice to our designated agent with:

  1. your signature (electronic is fine);
  2. what work you believe is infringed;
  3. where the material is in the Service (for example, the embed or gallery link);
  4. your contact details;
  5. a statement that you believe in good faith the use isn't authorized; and
  6. a statement, under penalty of perjury, that your notice is accurate and you're authorized to act for the owner.

Designated agent: Paraplex Digital LLC, 4539 N 22ND ST, STE N, PHOENIX, AZ, 85016, USA, support@paraplex.ai. If your content was removed by mistake, you can send a counter-notice to the same address. We close the accounts of repeat infringers where appropriate.

11. Our property and your feedback

The Service, including its software, design, Paraplex Assets, and the Paraplex name and logo, belongs to Paraplex Digital LLC and its licensors and is protected by law. These Terms give you the right to use the Service as described here, nothing more. Don't use our name or logo in a way that suggests we endorse you without our written permission; you may say your work was "Made with Paraplex."

If you send us ideas or feedback, we may use them freely, without paying you or owing you anything.

12. Third-party services

The Service works with other companies' services, such as Stripe for payments, AI providers, and imports from tools like Figma. Your use of those services is governed by their own terms and privacy policies. We aren't responsible for them, and links to third-party sites aren't endorsements.

13. Changes, suspension and termination

Changes to the Service. We improve Paraplex continually, so features may be added, changed or removed. If we remove a major Pro feature you paid for, you may cancel and receive a prorated refund of the unused part of your current period.

Changes to these Terms. We may update these Terms. For material changes, we'll give at least 30 days' notice by email or in the app before they take effect. If you keep using the Service after that, the new Terms apply; if you don't agree, cancel before they take effect.

Ending your account. You can delete your account anytime in the app or by emailing support@paraplex.ai. We may suspend or close your account, or remove content, if you seriously or repeatedly break these Terms, if we must by law, or to protect the Service or other people. Where it's reasonable, we'll tell you first and give you a chance to fix the problem and export your content. If we close your account without cause, we'll refund the unused part of any prepaid period.

What happens after. When your account is closed, your right to use the Service ends, and we may delete your content after 30 days. Sections 5 (license, to the extent needed), 6 (for work already made), 11, 14, 15 and 16 continue to apply.

14. Disclaimers, limits of liability and indemnity

Disclaimer. THE SERVICE, ASSETS AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We don't promise the Service will be uninterrupted or error-free, that content will never be lost, or that Outputs will be accurate, unique or free of third-party rights.

Limit of liability. TO THE FULLEST EXTENT THE LAW ALLOWS, PARAPLEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US $100.

Some places don't allow these exclusions or limits, so some may not apply to you. Nothing in these Terms limits liability that can't be limited by law, such as for fraud or gross negligence.

Indemnity. If someone makes a claim against us because of Your Content, your use of Outputs, or your breach of these Terms or the law, you agree to cover our reasonable costs and losses from that claim, including legal fees. We'll tell you about the claim and let you take part in the defense. This section doesn't apply to consumers where local law prohibits it.

15. Disputes

Talk to us first. Most problems can be fixed quickly. Before filing any claim, email support@paraplex.ai with a description of the issue, and we'll both try in good faith to resolve it within 60 days.

Governing law. These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. If you are a consumer in the EU, UK or another country with mandatory consumer protections, you keep those protections and may bring claims in your home courts.

Where claims are heard.

  • Option A: courts. Any dispute will be heard in the state or federal courts located in Maricopa County, Arizona, and both parties consent to their jurisdiction. Either party may bring an eligible claim in small claims court.
  • Option B: arbitration. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an eligible claim in small claims court or seek an injunction for misuse of intellectual property. YOU AND PARAPLEX WAIVE THE RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION. You can opt out of arbitration by emailing support@paraplex.ai within 30 days of first accepting these Terms.

16. General

  • Entire agreement. These Terms, the Privacy Policy and any terms shown at purchase are the whole agreement between you and us about the Service.
  • Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets, with notice to you.
  • Severability and waiver. If part of these Terms can't be enforced, the rest still applies. Not enforcing a term right away doesn't waive it.
  • Events outside our control. We aren't liable for delays or failures caused by events we can't reasonably control, such as outages at our hosting or AI providers.
  • Export and sanctions. You may not use the Service where US law prohibits it, or if you are on a US government restricted-party list.
  • Notices. We'll send notices to the email on your account. Send notices to us at the address below.
